Requirements:
Essential Requirements: — Full Legal Degree; — Fluency in English (excellent writing skills, strong command of legal vocabulary/terminology); — Excellent knowledge of Ukrainian and international law (experience with the jurisdictions of the European — Union and common law jurisdictions such as the UK, the USA, Canada, and Australia will be an asset); — Minimum of 2 years of experience as a Legal Counsel/Attorney in the fields of corporate, financial, or IT law, with a focus on blockchain technology, or in a legal consulting practice of a law firm.
Practical Legal Skills: — Legal support for the operations of national and foreign companies; — Interaction with state, law enforcement, and judicial bodies, as well as with international companies in the financial, marketing, and digital services markets; — Obtaining permits and regulatory approvals; — Taxation and corporate tax planning; — Reviewing and drafting contracts/agreements, including Foreign Economic Agreements (FEAs); — Drafting corporate policies and agreements, including Non-Disclosure Agreements (NDAs), data processing and privacy policies in compliance with GDPR standards, risk management policies, HR-related documents, and others; — Drafting License Agreements and other contracts pertaining to Intellectual Property (IP) rights; — Providing legal support for the company’s marketing strategy/policy.

Responsibilities:
— Conducting legal research and preparing legal memoranda on specialized corporate, tax, and marketing issues relevant to the company’s operations; — Mitigating the company’s legal risks; — Providing contractual support for the holding’s companies, including drafting and legal review/vetting of agreements, particularly FEAs, Software Development Agreements, Service Level Agreements (SLAs), License (Sublicense) Agreements, Agreements on Assignment of Rights, Work-for-Hire Agreements (Author’s Commission), Supply (Distribution) Agreements for software, SaaS Agreements, Advertising (Agency) Agreements, and website legal documents (Public Offer Agreements, Terms of Service, templates, etc.); — Providing legal support for the marketing area, including promotional campaigns, Intellectual Property protection, and countermeasures against information/reputational attacks. Drafting Partnership Agreements, Sponsorship Agreements, Memoranda of Understanding (MoUs), and Cooperation Agreements; — Preparing corporate documentation, including Non-Disclosure Agreements (NDAs), Privacy Policies, Terms of Service, Public Contracts and Offers, promotional campaign rules, etc.; — Providing legal consultation to the HR department and company employees.
