We’re looking for a Senior Legal Counsel (Corporate & Investments) to join a fast-growing, venture-backed mental health startup operating across the EU+UK+UA. In this role, you will work closely with the CEO and leadership team, supporting corporate structuring, investment rounds, due diligence processes, and M&A activities as the company continues to scale internationally. This is a strategic, hands-on role focused on high-impact corporate and investment matters, including fundraising, group structuring, and transaction support rather than routine operational or day-to-day legal work. Your Impact Areas Corporate structuring & governance * Support and evolve a multi-entity, multi-jurisdiction (UA, EU & UK) group structure * Participate in company setups, restructurings, and corporate changes * Ensure corporate documentation remains accurate, consistent, and transaction-ready
Investment & fundraising support * Prepare and manage fundraising documentation, data rooms, and investor requests * Support investment rounds and strategic financing initiatives in close collaboration with the CEO * Review and structure investment-related legal documentation
Due diligence & transactions * Coordinate investment and M&A due diligence, including document collection, structuring, legal checks, and summaries * Support acquisitions, disposals, and partial exits, including legal risk analysis and deal structuring * Ensure high-quality, well-organized legal documentation for transaction processes
Legal operations & compliance foundation * Maintain and oversee core legal documentation of the company, including contracts with contractors, therapists, and key partners * Review, update, and standardize contractual templates to support scalability and risk control * Ensure legal compliance of the company’s operating model across jurisdictions (EU, UK, UA), in cooperation with external counsel where needed * Monitor and address corporate compliance matters, ensuring alignment with applicable regulations and internal policies * Act as a legal partner to internal teams on corporate and operational legal questions, providing clear guidance and risk awareness
Founder-level partnership & execution * Work directly with the CEO on key corporate, investment, and strategic legal matters * Personally draft, review, and structure legal documentation, not just supervise or delegate * Support continuous improvement of internal legal processes and documentation structure as the company scales
Your Superpower Stack * Proven experience in corporate law with a strong focus on investments, corporate structuring, due diligence and/or M&A. * Relevant background in at least one of the following environments: * Venture capital fund or investment firm * Investment banking / M&A advisory or boutique * Venture-backed startup, fintech, or scale-up with active fundraising and multi-jurisdiction operations * Hands-on experience supporting investment processes, including: * preparation and management of data rooms * participation in investment rounds or M&A transactions * Ability to understand financial logic and work with cap tables, investment mechanics, and financial materials. * Hands-on execution mindset — comfortable personally drafting, reviewing, and structuring legal documentation. * Experience working directly with founders, CEOs, or investors on corporate and investment-related matters.
Nice to have * Experience with Ukrainian and/or UK legal frameworks. * Exposure to multi-entity, multi-jurisdiction corporate structures.
